5. Limitations of Liability
As a user of our Services, you agree to:
To the fullest extent permitted by law, Happy Millionaire Marketing and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising out of or relating to these Terms or our Services will not exceed the amount you paid to us in the twelve months preceding the claim.

Marketing results depend on many factors outside our control, including market conditions, competition, and client implementation of our recommendations.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our business relationship. This includes but is not limited to business strategies, financial information, customer lists, and technical data.
Confidential information does not include information that:
Is or becomes publicly available through no breach of this agreement
Was rightfully known prior to disclosure
Is independently developed without use of the confidential information
Is rightfully received from a third party without confidentiality obligations
We may use anonymized case studies and testimonials from our clients for marketing purposes, unless you specifically request otherwise in writing.
7. Payment Terms
Payment terms for our Services will be specified in your service agreement or invoice. Unless otherwise agreed in writing, payment is due within thirty (30) days of invoice date. Late payments may incur a monthly interest charge of 1.5% or the maximum rate permitted by law, whichever is less.
We accept various payment methods including credit cards, bank transfers, and other methods as specified in your agreement. All fees are exclusive of applicable taxes, which will be added to your invoice as required by law.
If you dispute any charges, you must notify us in writing within thirty (30) days of the invoice date. Failure to notify us of disputes waives your right to dispute those charges.
We reserve the right to suspend Services if payment is more than fifteen (15) days overdue.
8. Termination
Either party may terminate the Services with written notice as specified in your service agreement. Upon termination:
All outstanding invoices become immediately due and payable
We will cease providing Services and remove your access to our platforms
You remain responsible for any obligations incurred prior to termination
Provisions regarding confidentiality, intellectual property, and liability survive termination
We reserve the right to terminate your access to our Services immediately, without notice, if you violate any provision of these Terms or engage in any conduct we deem inappropriate or harmful.
9. Modifications to Terms
Happy Millionaire Marketing reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our Services following the posting of revised Terms means that you accept and agree to the changes. We encourage you to review these Terms periodically to stay informed of any updates.

10. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
